MAPZONE TERMS AND CONDITIONS OF SERVICE (the "Agreement")

IMPORTANT:THIS IS A LEGAL AGREEMENT BETWEEN MAPZONE AND A SCHOOL ACTING AS A USER ("YOU" OR "YOUR") OF WHICH A TEACHER IS A DULY AUTHORISED REPRESENTATIVE. PLEASE READ THE FOLLOWING TERMS CAREFULLY. BY CLICKING THE SUBMIT BUTTON WHEN YOU REGISTER YOUR SCHOOL, YOU AGREE TO THIS AGREEMENT, WHETHER OR NOT YOU HAVE READ IT. IF YOU DO NOT AGREE TO THIS, YOU MAY NOT ACCESS OR OTHERWISE USE THIS WEBSITE.

www.mapzone.co.uk (the "Website") is operated by Ordnance Survey, whose address is at Romsey Road, Southampton SO16 4GU, United Kingdom ("MapZone") which will provide You with information including maps, text and photographs, together with games and competitions in relation to places in Great Britain which may be visited by children (the "Services"). From time to time MapZone may modify this Agreement. MapZone will email You at least 7 days in advance in connection with any such modification. Any use of MapZone after such modification has come in to effect will be deemed to be with Your agreement. If at any time You do not wish to accept this Agreement, You may not use the Website.

1. SERVICES: To use the Services and the Website, You must be a school in Great Britain acting through a teacher on its staff who is duly authorised to represent the school. You acknowledge that You are entering into a contractual relationship with MapZone. Any entry sent to MapZone shall be accepted entirely at the discretion of MapZone and will only be accepted when MapZone sends You an e-mail confirmation. Each entry that is accepted shall be an individually accepted agreement between MapZone and You, subject to the terms of this Agreement. All information available at MapZone shall be in accordance with the details published on the Website which may be subject to change from time to time. No other images, descriptive material, written or oral representation, correspondence or statement, or literature shall form part of or be incorporated by reference into the contents .

2. USER REGISTRATION: You agree to provide MapZone with complete and accurate information. You must notify MapZone immediately if registration details need to be changed by sending an email to mapzone@ordnancesurvey.co.uk  and to keep that information up to date. On registration You will be issued with an account, an ID login and a password. Only You will be permitted to use the account, password and login ID. Any use of MapZone’s Website by an unauthorised third party shall be deemed to be a violation of this Agreement and MapZone at its sole discretion may terminate this Agreement. You are responsible for the use of Your account and for ensuring full compliance with the terms of this Agreement. You are responsible for keeping Your user name and password confidential and You must immediately notify us if You suspect unauthorised use. Any entries received by MapZone from Your e-mail address, together with the correct password will be considered to be from You. You shall not allow third parties to access the Website for any improper or unlawful purposes and You are not permitted to transfer Your account to another person or entity.

3. NO RELIANCE: All information on the Website is provided on an "as is" basis and MapZone does not guarantee or give any warranty as to the accuracy, timeliness or completeness of any information or material on the Website. To the extent that MapZone is permitted by law, MapZone excludes any liability, whether in contract, tort (negligence) or otherwise for any incorrect or misleading information on the Website.

4. LINKS TO THE WEBSITE: Websites or pages to which this Website is linked are for information only and have not been reviewed by MapZone. MapZone has no responsibility for the content of the websites or pages linked or linking to this Website, and MapZone accepts no responsibility or liability for any losses, damages, injuries or penalties whatsoever that may be incurred as a result of any linking to any location on any linked websites.

5. INTELLECTUAL PROPERTY: The Website, including (but not limited to) maps, text, content, charts, software, video, music, sound, graphics, photographs, illustrations, artwork, names, logos, trademarks, service marks and other material ("Content") is protected by copyright, database right, trade mark law and/or other proprietary rights. The Content includes both content owned or controlled by MapZone and content owned or controlled by third parties and licensed to MapZone. All individual reports, photos and other elements making up the Website may be copyright works. You agree to abide by all additional copyright notices or restrictions contained in the Website. You may not use any of MapZone’s trademarks or trade names without MapZone’s consent and You acknowledge that You have no ownership rights in and to any of those names and marks. You agree to notify MapZone in writing promptly upon becoming aware of any unauthorised access to or use of the Website by any party or of any claim that the Website or any of the Content of the Website infringes any copyright, database right, trade mark, or other contractual, statutory or common law rights of any party.

6. LICENCE AND DOWNLOAD RIGHTS: You acquire no rights or licences in or to the Website and/or the Content other than the limited right to use the Website in accordance with this Agreement. Other than as set out in this section You may not copy, reproduce, recompile, decompile, disassemble, reverse engineer, distribute, publish, display, perform, modify, upload to create derivative works from, transmit, communicate, or in any other way exploit any part of the Website and/or the Content. Download is permitted by MapZone provided only that:

(i) You make only personal, non-commercial use of such download and/or printed copy; and

(ii) You retain on such download and/or printed copy all copyright notices and shall remain bound by the terms of such wording and notices.

Additionally, You may not offer for sale or sell or distribute over any other medium (including distribution by over-the-air television or radio broadcast or distribution on a computer network) the Content or any part thereof. The Website and the information contained therein may not be used to construct a database of any kind, nor may the Website be stored (in its entirety or in any part) in databases for access by You or any third party or to distribute any database websites containing all or part of the Website.

7. PERMISSIONS: MapZone hereby grants a non-assignable, non-exclusive, royalty free licence solely to use the link logo of MapZone as a hypertext link icon on Your website to enable You to link from your website to MapZone, provided that if You abuse this licence MapZone shall be entitled to terminate this licence forthwith.

8. LICENCE OF YOUR ENTRIES: All material which You may submit to MapZone shall be available for use, subject to these Terms and Conditions and MapZone's Privacy Policy, by MapZone as it may in its sole discretion decide. By submitting entries, You are licensing MapZone to copy, reproduce, recompile, decompile, disassemble, distribute, publish, display, perform, modify, upload to create derivative works from, transmit, communicate all such works included in Your entry to the extent that is necessary for MapZone to make available the information in Your entries available to other users and to ensure that all information in Your entries in any form comply with any applicable statutory provisions or MapZone policies.

9. COMPETITION RULES : The rules applicable to any competition on the MapZone website should be viewed here. You are deemed to accept them when you register.

10. PRIVACY AND DATA PROTECTION: We recognise that privacy and data protection issues are very important for adults and even more important for children. Accordingly You have read and accepted our Privacy Policy. You understand that when You upload information or photos relating to children You will follow our instructions and ensure that no child can be identified.

11. PARENTAL CONSENT: You acknowledge that the law and overall safety requirements make it essential for us to have the written consent of a parent or guardian in relation to every child whose personal data (as defined by the Data Protection Act 1998) may be submitted to us and/or included on the MapZone website. You understand that any submission to us from a child for a competition must be accompanied by a parental consent form. You may receive information about children who have entered our competitions without parental consent and You agree to share that information only with teachers and children at Your school.

12. NO WARRANTY: Except as set out in this Agreement, all other conditions, warranties, stipulations or other statements whatsoever relating to the use of the Website and its Content, whether express or implied by statute, at common law or otherwise howsoever are hereby excluded to the fullest extent permitted by law; including (but not limited to) any as to the fitness for purpose, performance, use, nature or quality of the Website and its Content.

The Website and the Content are provided "as is" excluding any warranties of any kind, either express or implied, to the fullest extent permissible pursuant to applicable law including (but not limited to) the exclusion of warranties of satisfactory quality, fitness for a particular purpose, title and non-infringement of proprietary or third party rights. MapZone further accepts no responsibility or liability for functions contained on the Website and makes no warranties that the Website will operate uninterrupted or error-free or that defects will be corrected.

MapZone does not warrant that the Website is compatible with Your computer equipment or that the Website or its server is free of errors or viruses, worms or "Trojan horses" and MapZone is not liable for any damage You may suffer as a result of such destructive features. MapZone shall not be held responsible for Content provided by third parties. MapZone is also not responsible for the reliability or continued availability of the telephone lines and equipment You use to access the Website.

13. LIMITATION OF LIABILITY: Save in respect of fraud, personal injury or death to the extent it results from MapZone’s negligence, Mapzone’s total liability to You under this Agreement in contract, tort (including negligence) or otherwise arising shall be limited to five thousand pounds. In no event shall MapZone be liable to You or any third party for any direct, special, indirect, consequential or incidental damages, or loss of profits or anticipated savings or contracts or business or goodwill whether based on warranty, contract, tort (including negligence) or otherwise, even if MapZone has been advised of the possibility thereof. This section survives termination of this Agreement for any reason.

14. INDEMNITY: You agree to indemnify, defend, and hold harmless each of MapZone, its employees, representatives and agents, from and against any claims, actions, demands or other proceedings brought against any of MapZone, its employees, representatives or agents, by a third party, to the extent that such claim, suit, action or other proceeding brought against MapZone, its employees, representatives, suppliers, or agents is based on or arises in connection with:

(i) Your use of the Website;

(ii) any breach by You of this Agreement.

References in this section to Your use of the Website shall be deemed to include any use by a third party where such a third party accesses the Website using Your computer or use by a child which has been given access by or through You. You agree to pay MapZone, its employees, representatives and agents any and all costs, damages, and expenses (including reasonable legal fees) awarded against any of them or otherwise incurred by any of them in connection with or arising from any such third party claim, suit, action or proceeding attributable to any such third party claim. This section survives termination of this Agreement for any reason.

15. TERMINATION: Either You or MapZone may terminate this Agreement at any time by giving 5 days written notice. On termination You shall destroy all copies of the Content in any form.

16. CHANGES TO THE WEBSITE: You accept that MapZone has the right to change the Content or technical specifications of any aspect of the Website at any time at MapZone’s sole discretion. You further accept that such changes may result in Your being unable to access the website. MapZone may have to suspend the Website to from time to time to make carry out maintenance and to make upgrades.

17. NO ASSIGNMENT: You may not assign Your rights or delegate Your duties under this Agreement.

18. NO ASSOCIATION: No agency, partnership, joint venture, employee/employer relationship is intended or created by this Agreement.

19. NOTICES: Any notice shall be given by e-mail, if to You to the e-mail address provided on the registration form or such other address provided by You to MapZone, and if to MapZone to mapzone@ordnancesurvey.co.uk . Notice shall be deemed to be given twenty-four hours after the sending of the e-mail (unless the sender receives a response indicating that the message was undeliverable).

20. WAIVER: No waiver by MapZone of any breach of any obligation arising under this Agreement shall constitute a waiver of any other breach and no failure to exercise or partial exercise by MapZone of any remedy shall constitute a waiver of the right subsequently to exercise that or any other remedy.

21. SEVERANCE: If any part of this Agreement is held to be invalid, void or unenforceable, the parties agree that the remaining portions will not be affected and that the portion in question may be replaced by the lawful portion that most nearly embodies the original intention of the parties and the remainder of this Agreement will in any event remain valid and enforceable.

22. FORCE MAJEURE: MapZone shall have no liability for any delay or failure to carry out any of MapZone's obligations under this Agreement for reasons beyond MapZone's reasonable control including but not limited to default or failure by a third party or government action.

23. ENTIRE AGREEMENT: This Agreement, together with MapZone’s Privacy Policy, constitute the entire agreement between MapZone and You. All prior agreements, understandings, negotiations or representations (save for fraudulent misrepresentations), whether oral or in writing are superseded or cancelled in their entirety. The terms of any other electronic communications will not form part of this Agreement.

24. GOVERNING LAW AND JURISDICTION: This Agreement is governed by the laws of England and Wales and the parties submit to the exclusive jurisdiction of the English courts.
